Definitions

  • Company: Refers to mtb studios, operated by Vengros Ltd

  • Client: The individual, organisation, or agency to whom the purchase order or invoice is issued.

  • Products or Services: Any deliverables provided by the Company to the Client.

  • Contract: The agreement formed between the Company and Client upon acceptance of an order. Orders may be made verbally, in writing, or electronically.

 

1. Supply of Products or Services

The Company agrees to deliver the Products or Services as outlined in the Client's order or invoice and in accordance with these Terms.

 

2. Payment Terms

  • All quotes are valid for 30 days from their issuance.

  • Clients will be informed of additional costs for requested changes or extra work, which require written approval before proceeding.

  • Payments and deposits are non-refundable unless agreed otherwise.

    • For projects up to £2,000 (excl. VAT):

      • 50% is invoiced upon agreement and must be paid before the initial shoot.

      • The remaining 50% is invoiced upon completion of filming, with 30-day payment terms.

    • For projects over £2,000 (excl. VAT):

      • 25% is invoiced upon agreement and must be paid before the initial shoot.

      • The remaining 75% is invoiced upon completion of filming, with 30-day payment terms.

 

3. Booking and Cancellation

  • Tentative dates may be reserved without commitment but must be confirmed at least 14 days before the shoot.

  • Cancellations within 72 hours of the shoot incur a 50% fee; cancellations within 24 hours incur a 100% fee.

 

4. Working Hours and Overtime

  • A standard filming day includes 11 hours, covering travel and a one-hour lunch break.

  • A standard half-day of filming includes five hours, covering travel

  • Overtime is billed at one-fifth of the daily crew rate per hour after a 15-minute grace period.

5. Intellectual Property

  • Ownership of all deliverables remains with the Company until full payment is received.

  • After payment, the Client owns the final product, though raw footage remains Company property and may be purchased separately at £600 per hour (excl. VAT).

 

6. Marketing Use

Unless agreed otherwise in writing, the Company retains the right to use any footage, including final edits, raw material, and behind-the-scenes content, for promotional purposes.

 

7. Liability and Insurance

  • The Company is not responsible for delays or failures caused by events outside its control.

  • The Company holds appropriate insurance, including public liability and equipment coverage.

 

8. Music Licensing

All music used is licensed for a minimum of two years unless specified otherwise.

 

9. Termination

  • Either party may terminate the agreement due to a breach.

  • If termination results from the Company's inability to fulfill obligations, refunds may be considered, factoring in completed work and costs incurred.

  • The Client's cancellation does not override the non-refundable deposit policy.

 

10. Amendments and General Terms

  • The Company reserves the right to amend these Terms, with changes taking effect upon written notice.

  • These Terms constitute the entire agreement between the parties and are governed by the laws of England and Wales.
